Terms of Service

1. Acceptance of Terms

By accessing or using the FenceFlow platform, website, embeddable widgets, APIs, or any related services (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to all of these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you (“Customer,” “you,” or “your”) and FenceFlow (“we,” “us,” or “our”).

All subscriptions are billed monthly through Stripe. Subscriptions automatically renew at the end of each billing period unless cancelled. Applicable taxes (including HST/GST for Canadian customers) will be added to your subscription fee where required by law.

5. Free Trial

New customers receive a 30-day free trial with full access to all Standard Plan features. No credit card is required to start a trial. At the end of the trial period, your account will be paused until you select a subscription plan. Trial accounts that are not converted to paid subscriptions may be deleted after 90 days of inactivity.

8. Intellectual Property

Our property: The Service, including all software, designs, text, graphics, and other content provided by FenceFlow, is owned by FenceFlow and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for the duration of your subscription.

Your property: You retain ownership of all data you submit to the Service, including your company information, branding assets, pricing configurations, and customer leads. FenceFlow does not claim ownership of your content.

9. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect personal information.

When homeowners use your embedded widget to request a fence quote, FenceFlow acts as a data processor on your behalf. You, as the fence company, are the data controller for information collected through your widget. You are responsible for ensuring that your use of homeowner data complies with all applicable privacy laws, including PIPEDA.

10. Limitation of Liability

To the maximum extent permitted by applicable law, FenceFlow shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of the Service.

Our total aggregate liability for any claims arising from or related to the Service shall not exceed the total fees paid by you to FenceFlow during the twelve (12) months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold FenceFlow harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party. FenceFlow agrees to indemnify and hold you harmless from any claims arising from FenceFlow's gross negligence or wilful misconduct in providing the Service.

12. Modifications

We may update these Terms from time to time. For material changes, we will provide at least 30 days' notice via email to the address associated with your account. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the changes, you may cancel your subscription before the changes take effect.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario.
